Terms & Conditions

Please read these Terms carefully before using Spots. By creating an account or using our service, you agree to be bound by these Terms. If you do not agree, do not use Spots.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Spots App platform ("Service"), operated by an independent professional (autónoma) based in Costa Brava, Spain ("Spots", "we", "us").

By registering an account, subscribing to a plan, or otherwise using the Service, you confirm that you are authorised to accept these Terms on behalf of yourself or your organisation, and that you agree to be bound by them.

These Terms apply to all users of the Service, including company administrators, managers, and end users added to a company account.

2. The Service

Spots is a B2B SaaS platform for resource booking and workplace management. It allows organisations to create, manage, and book shared resources — including but not limited to desks, meeting rooms, parking spaces, and any other resource types you configure.

We reserve the right to modify, update, or discontinue features of the Service at any time. We will endeavour to notify users of significant changes in advance where reasonably possible.

3. Accounts & Access

Company accounts

Spots is structured around company accounts. One organisation = one company account, managed by one or more administrators. The administrator is responsible for managing users, roles, and permissions within their account.

User responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must notify us immediately at hello@thespotsapp.com if you suspect unauthorised access
  • You must provide accurate and complete information when registering
  • Each account is for a single individual — sharing login credentials is not permitted

User limits by plan

The number of users permitted within a company account is determined by the active subscription plan. Exceeding the user limit may require an upgrade. We reserve the right to restrict access if limits are exceeded.

4. Subscriptions & Billing

Plans and pricing

Spots offers subscription plans billed on a monthly basis. Current pricing is available at thespotsapp.com/#pricing. Prices are shown excluding VAT. Spanish VAT (IVA) at 21% will be added at checkout for applicable transactions. EU businesses with a valid VAT number may be exempt from VAT under the reverse charge mechanism.

Billing cycle

  • Subscriptions are billed monthly from the date of purchase
  • Payment is processed automatically at the start of each billing cycle
  • All payments are processed securely by Stripe
  • You will receive an invoice by email after each successful payment

Failed payments

If a payment fails, we will attempt to retry automatically. If payment remains unsuccessful, your account may be downgraded or suspended until the outstanding balance is settled. You will be notified by email of any failed payment.

Price changes

We may change subscription prices at any time. We will give at least 30 days' notice of price increases by email. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

5. Cancellation & Refunds

Cancellation

You may cancel your subscription at any time from your account settings or by contacting us at hello@thespotsapp.com. Cancellation takes effect at the end of the current billing period — you will retain full access until that date.

Refunds

We do not offer refunds for partially used billing periods. If you cancel mid-cycle, you will continue to have access until the end of that billing period, after which your account will be downgraded to the free plan.

Exceptions may be considered on a case-by-case basis for technical issues caused by Spots that significantly impaired your ability to use the Service. Contact us at hello@thespotsapp.com within 7 days of the incident.

Downgrade

Upon cancellation or plan downgrade, your account will revert to the free plan. Data and bookings may be subject to the limits of the free plan. We will not delete your data immediately upon cancellation.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Impersonate another person or organisation
  • Attempt to gain unauthorised access to any part of the Service or other users' accounts
  • Upload or transmit malicious code, viruses, or harmful content
  • Scrape, copy, or reverse engineer any part of the Service
  • Use the Service to compete with Spots or build a similar product
  • Resell, sublicense, or otherwise commercialise access to the Service without our written consent
  • Interfere with the performance or integrity of the Service

We reserve the right to suspend or terminate accounts that violate these rules, without notice or refund.

7. Your Data

Ownership

You retain full ownership of all data you upload or create within Spots — including company information, resource configurations, and booking records ("Your Data"). We do not claim any ownership rights over Your Data.

Our licence to process Your Data

By using the Service, you grant us a limited, non-exclusive licence to store, process, and use Your Data solely to provide and improve the Service. We will never sell Your Data to third parties.

Data portability

You may request an export of Your Data at any time by contacting us at hello@thespotsapp.com. We will provide it in a common machine-readable format within 30 days.

Data after termination

Following account cancellation, we will retain Your Data for 30 days, after which it may be permanently deleted. Billing records are retained for 5 years as required by Spanish law.

8. Intellectual Property

The Spots platform, including its design, code, branding, trademarks, and content, is owned by Spots App and protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property.

You may not copy, reproduce, distribute, modify, or create derivative works of any part of the Service without our prior written consent.

Any feedback, suggestions, or ideas you provide about the Service may be used by us freely and without obligation to you.

9. Availability & SLA

We aim to provide a reliable and high-availability service, but we do not guarantee uninterrupted access. The Service is provided "as is" and "as available".

  • We may perform scheduled maintenance — we will endeavour to notify users in advance
  • We are not liable for downtime caused by third-party infrastructure providers (e.g. Google Cloud, Supabase)
  • We do not currently offer a formal SLA with uptime guarantees

We will make reasonable efforts to resolve service disruptions as quickly as possible. For urgent issues, contact hello@thespotsapp.com.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Spots shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim
  • We are not liable for any loss of data, loss of revenue, or business interruption

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable Spanish or EU consumer protection law.

11. Termination

By you

You may terminate your account at any time by cancelling your subscription and requesting account deletion at hello@thespotsapp.com.

By us

We may suspend or terminate your account immediately and without notice if:

  • You violate these Terms or our Acceptable Use Policy
  • We are required to do so by law
  • Your account presents a security risk to us or other users
  • You fail to pay outstanding subscription fees after reasonable notice

In the event of termination by us without cause, we will provide a pro-rata refund for the unused portion of your current billing period.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Spain. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Girona, Spain.

If you are a consumer in the EU, you may also benefit from mandatory protections provided by the law of your country of residence, which these Terms do not override.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

The "last updated" date at the top of this page always reflects the current version. We recommend reviewing this page periodically.
